Spoolbook Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of Spoolbook, including our websites, applications, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least sixteen (16) years old, or the minimum age required to lawfully consent to online services in your jurisdiction, whichever is higher.

You represent and warrant that:

  • You have the legal capacity to enter into these Terms.
  • All information you provide is accurate and current.
  • Your use of the Service complies with all applicable laws and regulations.

3. The Service

Spoolbook is a diary-first work operating system that assists users in recording information and organising work, including generating actions, follow-ups, reminders, timelines, summaries, and other derived outputs.

We may modify, improve, suspend, or discontinue any part of the Service at any time.

Certain features may be designated as beta, preview, experimental, or early-access features. Such features are provided without any guarantee of availability, accuracy, or continued support.

4. Your Account

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities conducted through your account.
  • Promptly notifying us of any unauthorised access or suspected security incident.

We may suspend or restrict access to accounts where we reasonably believe security, legal, or operational risks exist.

5. Your Content

Ownership

You retain all rights, title, and interest in the information, diary entries, documents, files, attachments, notes, and other content you submit, upload, create, or store through the Service ("Your Content").

Licence to Operate the Service

You grant Spoolbook a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, and analyse Your Content solely to:

  • Provide and operate the Service;
  • Generate requested functionality and derived outputs;
  • Maintain security and system integrity;
  • Perform backups and disaster recovery;
  • Comply with legal obligations.

This licence ends when Your Content is permanently deleted from our systems, except where retention is required by law or for legitimate backup and recovery processes.

Responsibility for Content

You are solely responsible for Your Content and represent that you have all rights necessary to submit and use it through the Service.

6. AI and Automated Processing

Certain features may use artificial intelligence, machine learning, natural language processing, or automated analysis.

You acknowledge that:

  • AI-generated outputs may be inaccurate, incomplete, misleading, or inappropriate.
  • AI-generated outputs are provided for informational purposes only.
  • You are solely responsible for reviewing and validating any generated outputs before relying on them.

Spoolbook does not warrant the accuracy, completeness, legality, or suitability of AI-generated outputs.

7. Acceptable Use

You must not:

  • Violate any applicable law or regulation;
  • Infringe the rights of any person or entity;
  • Upload malicious code, malware, ransomware, spyware, or harmful content;
  • Attempt to gain unauthorised access to systems, accounts, or data;
  • Interfere with, disrupt, or impair the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code;
  • Scrape, harvest, mine, or extract data from the Service;
  • Use the Service to develop competing products or services;
  • Resell, sublicense, rent, lease, or commercially exploit the Service without our written permission;
  • Use the Service to store unlawful, defamatory, fraudulent, hateful, or abusive material.

We reserve the right to investigate violations and take appropriate action, including suspension or termination.

8. Intellectual Property

Except for Your Content, the Service and all associated software, technology, trademarks, logos, designs, interfaces, documentation, and intellectual property rights are owned by Spoolbook or its licensors.

No rights are granted except those expressly stated in these Terms.

9. Privacy and Data Protection

We process personal data in accordance with our Privacy Policy.

Where applicable, we will comply with relevant data protection laws, including the UK GDPR and the EU General Data Protection Regulation.

You acknowledge that electronic communications and internet transmissions may not be completely secure despite reasonable safeguards.

10. Availability and Backups

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to:

  • Maintenance;
  • Security incidents;
  • Infrastructure failures;
  • Third-party provider outages;
  • Circumstances beyond our reasonable control.

You remain responsible for maintaining copies of important information. While we maintain backups for operational purposes, we do not guarantee against data loss.

11. Fees and Subscriptions

If paid plans are offered:

  • Fees are payable in advance.
  • Subscription fees are non-refundable except where required by law.
  • We may change pricing upon reasonable notice.
  • Failure to pay may result in suspension or termination of access.

12. Termination

You may stop using the Service at any time.

We may suspend or terminate access immediately if:

  • You breach these Terms;
  • We reasonably believe your use creates legal, security, reputational, or operational risk;
  • We are required to do so by law.

Upon termination, your right to access the Service ends immediately.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

SPOOLBOOK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY;
  • AVAILABILITY;
  • SECURITY.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from harmful components.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SPOOLBOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED:

(A) THE TOTAL FEES PAID BY YOU TO SPOOLBOOK DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(B) ONE HUNDRED POUNDS STERLING (£100),

WHICHEVER IS GREATER.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

15. Indemnification

You agree to indemnify, defend, and hold harmless Spoolbook, its officers, directors, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your use of the Service;
  • Your Content;
  • Your violation of these Terms;
  • Your violation of any law or third-party rights.

16. Force Majeure

Spoolbook shall not be liable for any delay or failure resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, governmental actions, internet failures, cyberattacks, or failures of third-party providers.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer residing in a jurisdiction that grants mandatory local consumer rights, those rights remain unaffected.

18. Changes to these Terms

We may modify these Terms from time to time.

Where changes are material, we will provide reasonable notice through the Service, by email, or by other appropriate means.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
